Agreement to Terms
These Terms of Service (the "Terms") are a binding legal agreement between you and Sanitized AI Inc. ("Sanitized AI," "we," "us," or "our") and govern your access to and use of the Sanitized AI browser extension, web dashboard, application programming interfaces, and related services (collectively, the "Service").
By installing, accessing, or using the Service — or by clicking "I agree" where presented — you accept these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization. If you do not agree to these Terms, do not access or use the Service.
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
1. Definitions
- "Organization" means the company, employer, or other entity that subscribes to the Service and on whose behalf Authorized Users access it.
- "Authorized User" means an individual (such as an employee or contractor of an Organization) who is permitted to use the Service under an Organization's subscription.
- "Administrator" means an Authorized User granted elevated permissions to configure detection policies, manage users, and view reporting for an Organization.
- "Customer Data" means data submitted to or generated by the Service in connection with your use, including detection events, configuration, and account information, but excluding the raw input text you type into AI platforms, which the Service processes in real time and does not store.
- "AI Platform" means a third-party large language model or generative AI service (such as OpenAI ChatGPT, Google Gemini, or Perplexity AI) on which the Service operates.
2. Eligibility and Accounts
You must be at least the age of majority in your jurisdiction (and in any event at least 18 years old) to use the Service. By using the Service, you represent that you meet this requirement and are not barred from receiving the Service under any applicable law.
- You are responsible for maintaining the confidentiality of your account credentials and authentication tokens.
- You are responsible for all activity that occurs under your account.
- You agree to provide accurate, current, and complete information and to keep it up to date.
- You must promptly notify us of any unauthorized use of your account or any other breach of security.
3. Description of the Service
The Service is a security tool that monitors text entered into supported AI Platforms in order to detect potentially sensitive information — such as personal data, credentials, and financial or health information — before it is submitted. Depending on the policies configured by your Organization, the Service may warn you, block submission, or record a detection event.
The Service is a risk-reduction tool, not a guarantee. No detection technology is perfect. The Service may not identify every instance of sensitive data, may occasionally flag content that is not sensitive, and is not a substitute for sound judgment, internal controls, or compliance programs. You remain responsible for what you choose to submit to any AI Platform.
4. Organization Accounts and Administrator Authority
The Service is typically deployed by an Organization for its Authorized Users on a multi-tenant basis. If you access the Service through an Organization:
- Your Organization's Administrators control detection rules, guardrails, guarded site lists, data-retention settings, and which data categories are monitored.
- Administrators may view aggregated and event-level reporting for Authorized Users for security, audit, and compliance purposes, as described in our Privacy Policy.
- Your Organization is responsible for obtaining any consents and providing any notices required by applicable law for monitoring its Authorized Users.
- Your Organization may suspend, configure, or terminate your access at its discretion, and these Terms operate in addition to any agreement between you and your Organization.
Where an Organization has entered into a separate written master services or subscription agreement with Sanitized AI, that agreement governs and controls over these Terms to the extent of any conflict.
5. Subscriptions, Fees, and Payment
- Plans. Paid features are offered on a subscription basis as described in your order form or at the point of purchase. Fees, billing frequency, and the number of licensed seats are specified there.
- Renewal. Unless otherwise stated, subscriptions renew automatically for successive terms equal to the prior term until cancelled. You may cancel renewal before the end of the then-current term.
- Payment. You authorize us (or our payment processor) to charge the applicable fees using your selected payment method. Fees are exclusive of taxes, which you are responsible for paying.
- Non-payment. We may suspend or downgrade the Service if fees are past due after reasonable notice.
- Refunds. Except where required by law or expressly stated in an order form, fees are non-refundable and payments are not pro-rated upon cancellation.
- Changes. We may change pricing for future terms; changes take effect upon renewal and we will provide reasonable advance notice.
6. Free Trials and Early Access
We may offer free trials, beta features, or early-access programs. Such offerings are provided "as is," may be modified or discontinued at any time, and may be subject to additional terms. Beta features are not guaranteed to be reliable and should not be relied upon in production-critical workflows.
7. License Grant and Restrictions
Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Service for your internal business purposes. You agree that you will NOT, and will not permit any third party to:
- Copy, modify, translate, or create derivative works of the Service;
- Reverse engineer, decompile, or disassemble the Service, except to the extent permitted by applicable law;
- Rent, lease, sell, sublicense, or otherwise transfer the Service to a third party;
- Circumvent, disable, or interfere with security or detection features, or attempt to defeat the Service's blocking or monitoring functions;
- Use the Service to build a competing product, or scrape or extract data except through documented interfaces;
- Remove or obscure any proprietary notices.
8. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third party's rights;
- Upload or transmit malware or engage in any activity that disrupts or harms the Service or its infrastructure;
- Attempt to gain unauthorized access to the Service, other tenants' data, or related systems;
- Probe, scan, or test the vulnerability of the Service without our prior written authorization;
- Use the Service to monitor individuals without a lawful basis or required notice; or
- Impose an unreasonable or disproportionately large load on the Service.
9. Customer Data and Privacy
As between you and Sanitized AI, you (or your Organization) retain all rights in Customer Data. You grant us a limited license to process Customer Data solely to provide, secure, maintain, and improve the Service, and as otherwise described in our Privacy Policy.
- The Service is designed to process the text you enter on AI Platforms in real time to detect sensitive data; it does not store that raw input.
- You are responsible for the accuracy, legality, and appropriateness of Customer Data and for having all rights necessary to provide it to us.
- Where we act as a processor or service provider on behalf of your Organization, the parties' data-protection obligations are set out in our Privacy Policy or an applicable data processing agreement.
10. Third-Party Platforms and Services
The Service operates alongside third-party AI Platforms and may rely on third-party providers for hosting, analytics, and payments. We are not affiliated with, endorsed by, or sponsored by any AI Platform, and AI Platforms are not parties to these Terms. Your use of any third-party platform is governed by that platform's own terms and policies. We are not responsible for the availability, accuracy, or practices of third-party services, and changes those services make may affect how the Service functions.
11. Intellectual Property
The Service, including all software, content, designs, logos, and trademarks, and all related intellectual property rights, are and remain the exclusive property of Sanitized AI and its licensors. Except for the limited license granted above, these Terms do not transfer any right, title, or interest in the Service to you. If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.
12. Confidentiality
Each party may have access to the other's non-public information ("Confidential Information"). The receiving party will use Confidential Information only to perform under these Terms, will protect it with at least reasonable care, and will not disclose it except to personnel and advisors with a need to know who are bound by confidentiality obligations, or as required by law.
13. Service Availability and Support
We strive to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. We may perform maintenance, update or modify features, and impose reasonable usage limits. Any service-level commitments or dedicated support, if applicable, are set out in your order form or a separate agreement.
14. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT THE SERVICE WILL DETECT OR PREVENT ALL DISCLOSURE OF SENSITIVE INFORMATION, THAT IT WILL BE FREE OF FALSE POSITIVES OR FALSE NEGATIVES, OR THAT IT WILL MEET YOUR COMPLIANCE OBLIGATIONS. THE SERVICE IS A SAFEGUARD THAT REDUCES RISK; IT DOES NOT ELIMINATE IT, AND IT IS NOT LEGAL, REGULATORY, OR SECURITY ADVICE.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
EXCEPT FOR YOUR PAYMENT OBLIGATIONS AND A PARTY'S INDEMNIFICATION OBLIGATIONS, EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
16. Indemnification
You will defend, indemnify, and hold harmless Sanitized AI and its officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, and reasonable expenses (including legal fees) arising out of or related to: (a) your use of the Service in violation of these Terms or applicable law; (b) Customer Data, including any claim that it infringes or violates the rights of a third party; or (c) your failure to obtain consents or provide notices required to monitor Authorized Users.
17. Term and Termination
- These Terms remain in effect while you use the Service.
- You may stop using and uninstall the Service at any time. Subscription cancellation is governed by Section 5.
- We may suspend or terminate your access if you materially breach these Terms, if required by law, or to protect the Service or other users, with notice where practicable.
- Upon termination, your license ends and you must cease using the Service. Sections that by their nature should survive — including Sections 9, 11, 12, 14, 15, 16, 19, and 21 — survive termination.
- Following termination, we will handle Customer Data in accordance with our Privacy Policy and applicable retention settings.
18. Modifications to the Service and Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date above and, where required by law or where the changes are significant, provide additional notice (such as by email or in-product notice). Changes are effective when posted unless stated otherwise. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. We may also modify, suspend, or discontinue features of the Service.
19. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. Subject to any mandatory consumer protections in your jurisdiction, the parties submit to the exclusive jurisdiction of the courts located in Ontario, Canada for any dispute arising out of or relating to these Terms.
Before filing a claim, the parties agree to attempt in good faith to resolve any dispute informally by contacting legal@sanitized.ai. To the extent permitted by law, any claim must be brought within one (1) year after it arises.
20. Export Controls and Sanctions
You represent that you are not located in, and will not use the Service in, a country or region subject to comprehensive sanctions, and that you are not a person with whom dealings are prohibited under applicable export-control or sanctions laws. You agree to comply with all such laws in your use of the Service.
21. General Provisions
- Entire Agreement. These Terms, together with the Privacy Policy and any order form or separate written agreement, constitute the entire agreement between the parties regarding the Service.
- Severability. If any provision is held unenforceable, the remaining provisions remain in full force and effect.
- No Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Force Majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
- Relationship. The parties are independent contractors; these Terms create no partnership, agency, or employment relationship.
- Notices. We may provide notices through the Service or by email. Notices to us should be sent to the contact below.
